The AICD Company Directors Course is a five-day program that enhances councillors’ and senior local government officers’ ability to contribute at a higher level and create opportunities for themselves.

Program Information

The Company Directors Course is a partnership program between the MAV and the AICD. This five-day training program is suited to mayors, deputy mayors, returning councillors, CEOs and other sector executive and senior officers. It would also suit those who have experience in working as a Board member or reporting to a Board, or those wish to further their directorship skills and knowledge.

1. The Role of the Board and the Practice of Directorship Outlines the functions of boards, directors and business owners in contemporary corporate governance
  • Clarify boards’ roles, functions and responsibilities in the context of governance
  • Illustrate principles and guidelines for effective boards, relevant to the structure of the organisation
  • Interpret contemporary governance issues

2. Decision Making

Examines the influences involved, and considers frameworks for decision making
  • Compare frameworks for effective decision making
  • Explain the key factors which impact the quality of decision making in the boardroom
  • Recommend ways for the board and management to have constructive, critical debate

3. Directors’ Duties and Responsibilities

Focuses on the functions of directors in contemporary corporate governance

  • Analyse directors’ fiduciary and statutory duties and their purpose
  • Examine the implications of the Corporations Act for current boards, such as insolvent trading and the Business Judgement Rule
  • Explain directors’ rights and protections

4. The Board’s Legal Environment

Considers the changing legal environment as directors consider the impacts of the legal environment in making decisions

  • Analyse the impact and consequences of the legal environment for directors
  • Establish a framework for dealing with legal issues
  • Understanding who the law applies to, obligation to do what is ‘reasonably practicable’, directors’ duty to exercise due diligence and the ‘due diligence’ defence

5. Risk: Issues for Boards

Outline the board’s key role in developing a culture that is appropriate for the risk appetite / tolerance of the organisation

  • Define the role of management in a typical risk governance structure
  • Consider the board’s role in establishing risk appetite / tolerance
  • Consider the role of the board in a crisis

6. Strategy: The Board’s Role

Examines the board’s role in developing and executing strategy

  • Examine the role of the board in the strategic planning, decision making and monitoring processes
  • Explain how boards pro-actively work with management within each stage of the strategic planning process
  • Appraise the capability of the organisation to implement its chosen strategy

7. Financial Literacy for Directors

Focuses on financial literacy for directors

  • Clarify the reporting obligations of the board
  • Examine the financial statements of an organisation
  • Explain the role and purpose of internal controls and the audit function

8. Driving Financial Performance

Examines the directors’ role in driving organisational performance

  • Analyse an organisation’s financial performance
  • Appraise when an organisation is facing solvency issues
  • Establish key drivers used to improve financial performance
  • Determine appropriate questions directors should be asking in relation to financial performance

9. Achieving Board Effectiveness

Reviews good practices for organisational performance by considering good practices of effective boards

  • Explain how boards add value to an organisation
  • Establish how board performance can be improved, through the use of effective processes
  • Review the performance of the board and individual directors
  • Analyse board composition and relationships

10. Learning into Practice

Participants contribute to an informed debate on current issues affecting directors and apply the learning from across the course through a board activity

  • Contribute to informed debate on issues which impact the practice of directorship
  • Board etiquette
  • Apply key learnings to the director role
